Terms of Service

These terms set out the rules for using TextilePass. Please read them carefully — they form a binding agreement between you and TextilePass.

01Agreement to terms

These Terms of Service (the "Terms") govern your access to and use of the TextilePass platform, websites, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms on behalf of yourself and the organisation you represent.

If you do not agree to these Terms, you may not use the Service. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.

02The Service

TextilePass provides software for creating, managing, and publishing Digital Product Passports for textile and fashion products, including supply-chain traceability, certificate management, impact calculation, and GS1 Digital Link QR code generation.

We may add, modify, or remove features from time to time. We aim to give reasonable notice of material changes that adversely affect your use of the Service.

03Accounts and eligibility

You must provide accurate account information and keep it up to date. You are responsible for safeguarding your credentials and for all activity that occurs under your account.

You must be at least 18 years old and capable of forming a binding contract to use the Service. You agree to notify us promptly of any unauthorised use of your account.

04Subscriptions, fees and billing

The Service is offered on Starter (free), Professional, and Enterprise plans. Paid plans are billed in advance on a monthly or annual cycle through our payment processor. Certain actions, such as publishing a Style on the Professional plan, may incur one-time activation fees disclosed at the point of purchase.

Fees are non-refundable except where required by law. You authorise us and our payment processor to charge your payment method for all applicable fees. If a payment fails, we may suspend access to paid features until the balance is settled.

We may change pricing with reasonable advance notice. Price changes take effect at the start of your next billing cycle.

05Your content and data

You retain all rights to the product data, supply-chain information, certificates, images, and other materials you submit to the Service ("Customer Content"). You grant TextilePass a worldwide, non-exclusive licence to host, process, and display Customer Content solely to provide and improve the Service.

You are responsible for the accuracy, legality, and quality of Customer Content, and for ensuring you have the rights to submit it. Published passport pages are publicly accessible by design; do not include confidential information in fields intended for public display.

You represent that Customer Content does not infringe third-party rights and does not violate any applicable law or regulation.

06Acceptable use

You agree not to:

  • Use the Service to publish false, misleading, or fraudulent product or sustainability claims;
  • Attempt to gain unauthorised access to the Service, other accounts, or our systems;
  • Reverse engineer, scrape, or resell the Service except as expressly permitted;
  • Upload malware or interfere with the integrity or performance of the Service;
  • Use the Service in violation of applicable export, sanctions, or data-protection laws.

We may suspend or terminate accounts that violate this section.

07Compliance disclaimer

TextilePass is a software tool that helps you assemble and publish Digital Product Passport data. It does not constitute legal, regulatory, or compliance advice. You remain solely responsible for determining and meeting your obligations under the EU Ecodesign for Sustainable Products Regulation (ESPR) and any other applicable law.

We do not warrant that use of the Service will result in compliance with any specific regulation.

08Intellectual property

The Service, including its software, design, and trademarks, is owned by TextilePass and protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription term. No other rights are granted.

09Third-party services

The Service relies on third-party providers for hosting, authentication, payments, email, and AI processing. Your use of the Service may be subject to those providers' terms. We are not responsible for third-party services outside our control.

10Disclaimers and limitation of liability

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law.

To the maximum extent permitted by law, TextilePass's total liability arising out of or relating to these Terms or the Service will not exceed the amounts you paid to us in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill.

11Termination

You may cancel your subscription at any time; access to paid features continues until the end of the current billing period. We may suspend or terminate your access for breach of these Terms or non-payment.

On termination, you may export your data for a reasonable period. Published passport pages may remain accessible to preserve the integrity of QR codes already printed on products, unless legally required otherwise.

12Changes to these Terms

We may update these Terms from time to time. We will post the revised Terms with an updated "Last updated" date and, where changes are material, provide additional notice. Continued use of the Service after changes take effect constitutes acceptance.

13Governing law and contact

These Terms are governed by the laws of the jurisdiction in which TextilePass is established, without regard to conflict-of-law principles. Disputes will be subject to the exclusive jurisdiction of the competent courts of that jurisdiction.
